Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Higharc Athletics ("leaguearc," "we," "us," or "our"). By creating an account, accessing, or using the leaguearc platform (the "Platform"), you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use the Platform. If you are using the Platform on behalf of an organization (such as a league, club, or association), you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and the organization.

Description of Service

leaguearc is a sports league management platform designed for basketball, soccer, hockey, volleyball, and other sports. The Platform provides tools for:

  • League scheduling and season management
  • Team and roster management
  • Live game scoring
  • Statistics tracking and standings calculations
  • Player and team registration with online payment collection
  • AI-powered scoresheet scanning to digitize paper scoresheets
  • Public league hub pages for sharing schedules, scores, and standings

The specific features available to you may vary based on your subscription plan. We may add, modify, or discontinue features at any time with reasonable notice.

Eligibility

You must be at least 16 years of age to create a leaguearc account. By creating an account, you represent that you meet this age requirement. Organizations are responsible for ensuring that only authorized individuals access and use the Platform on their behalf.

Account Registration & Security

To use the Platform, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Keep your account information up to date
  • Maintain the security and confidentiality of your password
  • Accept responsibility for all activity that occurs under your account
  • Notify us immediately at [email protected] if you suspect unauthorized access to your account

We reserve the right to suspend accounts that appear to be compromised or that violate these Terms.

Subscription Plans & Billing

Free & Paid Plans

leaguearc offers both free and paid subscription plans. Paid plans (such as Pro and Enterprise) provide access to additional features and higher usage limits.

Billing

  • Paid plans are billed in advance on a monthly or annual basis, depending on the plan you select
  • Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date
  • You can cancel your subscription at any time — there are no long-term contracts or cancellation fees
  • If we change pricing, we will provide at least 30 days' notice before the new pricing takes effect on your account

Refunds

Refunds are handled at our discretion. If you believe you are entitled to a refund, please contact us and we will review your request in good faith.

Payment Collection (Stripe Connect)

If your organization uses the Platform to collect fees from participants (such as registration fees or team dues), those payments are processed through Stripe Connect. By using this feature:

  • You agree to Stripe's Connected Account Agreement and applicable Stripe terms
  • leaguearc facilitates these transactions but is not a party to them — the transaction is between your organization and the payer
  • Your organization is responsible for any disputes, refunds, or chargebacks related to fees you collect
  • leaguearc is not responsible for Stripe's handling of funds or any delays in payment processing

Acceptable Use

You agree not to use the Platform to:

  • Violate any applicable laws, regulations, or third-party rights
  • Scrape, crawl, or use automated tools to extract data from the Platform without our written permission
  • Interfere with or disrupt the Platform, its servers, or connected networks
  • Attempt to gain unauthorized access to any part of the Platform or other users' accounts
  • Impersonate another person or organization
  • Upload malicious code, viruses, or any content designed to harm the Platform or its users
  • Use the Platform for any purpose other than sports league management
  • Transmit spam, phishing attempts, or fraudulent content

We reserve the right to suspend or terminate accounts that violate these rules, with or without notice.

User Content & Data Ownership

Your Data Belongs to You

You retain full ownership of all data you and your organization's users submit to the Platform, including league information, player data, team rosters, game statistics, scoresheet images, and any other content ("User Content").

Our License to Operate

By submitting User Content, you grant us a limited, non-exclusive, worldwide, royalty-free license to use, store, process, and display that content solely as necessary to provide and operate the Platform. This license exists only for the purpose of delivering the service to you — we will not use your content for any other purpose.

Data Export & Portability

Your data is always exportable. You can use the Platform's built-in export tools to download your league data at any time, in standard formats.

After Termination

If your account is terminated (by you or by us), your data will remain available for export for 30 days following termination. After that 30-day period, your data will be permanently deleted from our systems.

AI Features

The Platform includes an AI-powered scoresheet scanner that processes uploaded images of paper scoresheets to extract game statistics. By using this feature, you acknowledge that:

  • AI-extracted results are provided as a convenience and should be reviewed by a human for accuracy
  • We do not guarantee 100% accuracy of AI-processed data
  • You are responsible for verifying and approving all AI-extracted statistics before they are finalized
  • Uploaded images are processed temporarily and are not used to train AI models

Platform Availability

We target 99.9% uptime for the Platform and work hard to keep it running smoothly. However:

  • We may perform scheduled maintenance, and will provide advance notice when possible
  • We do not guarantee uninterrupted, error-free, or perfectly secure service at all times
  • We are not liable for any downtime, whether scheduled or unscheduled, or for any data loss or damage resulting from service interruptions

Intellectual Property

The Platform — including its design, code, features, branding, documentation, and all related intellectual property — is owned by Higharc Athletics and is protected by copyright, trademark, and other intellectual property laws. You may not:

  • Copy, modify, or create derivative works based on the Platform
  • Reverse-engineer, decompile, or disassemble any part of the Platform
  • Remove or alter any proprietary notices or branding
  • Use our trademarks, logos, or branding without written permission

Third-Party Services

The Platform integrates with third-party services, including Stripe for payment processing and email delivery providers for notifications. These services are governed by their own terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • LEAGUEARC'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED CANADIAN DOLLARS (CAD $100), WHICHEVER IS GREATER.
  • IN NO EVENT SHALL LEAGUEARC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, REGARDLESS OF WHETHER WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Indemnification

You agree to indemnify, defend, and hold harmless Higharc Athletics and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Platform
  • Your User Content
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Fees collected through the Platform by your organization

Termination

  • By you: You may close your account at any time by contacting us or using the account settings in the Platform
  • By us: We may suspend or terminate your access if you violate these Terms, engage in abusive behavior, or if we are required to do so by law. Where possible, we will provide notice before termination.
  • Effect of termination: Upon termination, your right to use the Platform ceases immediately. Your data will remain available for export for 30 days, after which it will be permanently deleted.
  • Survival: Sections relating to intellectual property, limitation of liability, indemnification, governing law, and dispute resolution survive termination.

Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any legal proceedings arising under these Terms shall be brought in the courts located in Ontario, Canada.

Dispute Resolution

If a dispute arises between you and leaguearc, we encourage you to first contact us at [email protected] so we can try to resolve it informally. We agree to attempt good-faith negotiation for at least 30 days before pursuing formal proceedings.

If the dispute cannot be resolved through negotiation, either party may submit the matter to binding arbitration administered under the rules of the ADR Institute of Canada, conducted in Ontario, Canada. The arbitration shall be conducted in English. The arbitrator's decision shall be final and binding.

General Provisions

  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
  • Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and leaguearc regarding your use of the Platform.
  • No waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it in the future.
  • Assignment: You may not assign or transfer your rights under these Terms without our consent. We may assign our rights and obligations without restriction.
